Clinic Marketing Solutions (CMS) is a sister concern and product of ODW Inc and ODW Canada, ensuring that your data is securely handled in compliance with global privacy standards.
By accessing or using the Clinic Marketing Solutions website and related services (“Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with these Terms, please do not use our Service.

CMS reserves the right to modify these Terms at any time. All changes will be effective immediately upon posting to our website. Your continued use of the Service constitutes acceptance of any updated Terms.

Use of the Service

Prohibited activities include, but are not limited to:

Payment and Subscription

Subscription Model

Billing

By subscribing to our Service, you authorize CMS to charge the designated payment method on a recurring basis. All subscription fees are non-refundable unless otherwise stated in a separate agreement.

Changes and Cancellation

CMS reserves the right to modify subscription fees or terms of service. Subscriptions require a 12-month commitment, and cancellations are only permitted after this period. All fees paid are non-refundable.

Disclaimer of Warranties

The Service is provided “as is” and “as available” without any warranties, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CMS does not guarantee uninterrupted or error-free operation of the Service.

Limitation of Liability

To the fullest extent permitted by law, CMS shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability under these Terms, whether in contract, tort, or otherwise, shall not exceed the fees paid by you in the preceding 12 months.

Indemnification

You agree to indemnify, defend, and hold harmless CMS, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of the Service or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CMS operates. Any disputes arising from these Terms will be resolved through binding arbitration or in the appropriate courts, as determined by CMS.

Termination

CMS reserves the right to suspend or terminate your access to the Service immediately, without prior notice, if you breach any of these Terms. Upon termination, all rights granted to you will cease, and you must promptly discontinue use of the Service.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CMS regarding the use of the Service, superseding any prior agreements or communications, whether oral or written.

CMS is committed to maintaining compliance with the Health Insurance Portability and Accountability Act (HIPAA) as it applies to the protection of patient information. Our systems and processes are designed to safeguard protected health information (PHI) and adhere to HIPAA’s Security and Privacy Rules. However, please note that CMS operates solely as a digital service provider and is not a covered entity or business associate subject to formal HIPAA accreditation. The responsibility for achieving and maintaining HIPAA compliance lies with the healthcare organizations that use our platform.

Insurance Claims and Liability

All responsibility for any actions, claims, or damages arising from the clinic’s operations or interactions with patients lies solely with the clinic and its owners. CMS provides only the platform and is not liable for any claims, losses, or legal actions initiated by the clinic or its patients.
